Service Provider Agreement

Between Booqat International Services and Service Providers on www.booqat.com

1. Parties to the Agreement

This Service Provider Agreement (“Agreement”) is made between:

Platform:

Booqat International Services, a company duly registered under the laws of the State of Qatar, with Commercial Registration (CR) number 113352, having its principal place of business at Palm Tower, Block B, Floor 15, Doha, Qatar, hereinafter referred to as the “Platform” or “Company.”

Service Provider:

A legally registered business operating in the State of Qatar, hereinafter referred to as the “Service Provider” or “Provider.”


2. Purpose

The Platform operates an online booking portal for beauty and wellness services. The Service Provider desires to list its services on the Platform in exchange for a monthly subscription. The Platform acts as a facilitator of bookings and is not a party to any contract for service delivery between the Service Provider and the client.

3. Subscription Terms

The Service Provider agrees to pay a monthly subscription fee to the Platform based on their selected plan:

  • Basic Plan: QAR 995/month
  • Premium Plan: QAR 1195/month

A free trial of the Basic Plan is available for 30 days. After the trial period, users can choose to subscribe to either of the two paid plans.
Subscription fees are due in advance on a monthly basis.
The subscription will auto-renew unless terminated in writing at least 7 days before the next billing cycle.
Non-payment may result in temporary suspension or permanent removal from the Platform.
No refunds will be provided for partial subscription periods or unused services.

3.1 Subscription Terms

If a subscription payment fails or is delayed for any reason, including but not limited to technical issues, insufficient funds, or bank declines, the Provider will be notified promptly and is responsible for resolving the payment issue without undue delay.
The Platform reserves the right to suspend or restrict the Provider’s access to the Portal and services until outstanding payments are received.
The Provider remains responsible for all subscription fees incurred during any suspension period.
The Platform shall not be liable for any losses, damages, or missed bookings resulting from suspension due to non-payment.

4. Payment Terms

Subscription fees are billed monthly in advance.
Payments must be made via the payment methods provided on the Portal.
Failure to pay subscription fees may result in suspension or removal of the Provider’s listing from the Portal.
No refunds will be provided for partial subscription periods or unused services.

5. Platform Role and Limitation of Liability

  • The Platform provides access to booking features, promotion, and customer reach only.
  • The Platform does not handle payments between the Service Provider and clients.
  • The Platform does not guarantee service quality, availability, or resolve disputes between Providers and customers.
  • The Provider acknowledges the Platform’s role as a neutral intermediary and agrees that the Platform holds no liability for claims arising from Provider services.

5.1 Future Platform Developments and Mobile Application

The Platform reserves the right to develop, launch, modify, optimize, or enhance the existing www.booqat.com portal, including but not limited to a mobile application (“App”) related to the services provided.
The terms of this Agreement shall apply equally to the Portal and any such future platforms or applications.
The Provider agrees to cooperate with the Platform in providing accurate and timely service information and updates as may be required for any such developments.
The Platform reserves the right to change subscription plan pricing or features at any time, provided that the Provider is given advance written notice of such changes at least 30 days prior to implementation.
Use of any new platforms or applications will be subject to any additional terms and conditions the Platform may publish, which will be communicated to the Provider in advance.

5.2 Data Import and Integration

The Platform currently does not support the importation or migration of data from any external or third-party booking systems.
Providers are responsible for managing their own data and bookings within the www.booqat.com portal.
The Platform makes no guarantees regarding compatibility or integration with other booking software or systems.

6. Provider Responsibility for Services

The Provider is solely responsible for the quality, pricing, availability, and delivery of their services offered through the Portal.
The Provider retains full discretion over pricing and any promotions or discounts offered to customers.
The Provider is solely responsible for handling customer complaints, refunds, cancellations, and any other customer service issues related to their services.
Booqat International Services does not guarantee the quality or availability of any Provider’s services and disclaims any liability arising from the services provided.

7. Independent Contractor Status

The Provider acknowledges and agrees that they are acting as an independent contractor and not as an employee, agent, partner, or joint venture of Booqat International Services.
Nothing in this Agreement shall be construed to create an employment relationship between the Company and the Provider.
The Provider is solely responsible for all taxes, insurance, licenses, and other obligations arising from their business activities.
The Provider has no authority to bind or obligate the Company in any manner.

8. Compliance with Laws and Regulations

The Provider is solely responsible for complying with all applicable local laws, regulations, and licensing requirements related to their beauty and wellness services, including but not limited to hygiene standards, health and safety regulations, and consumer protection laws.
Booqat International Services does not assume any responsibility or liability for the Provider’s compliance with such laws and regulations.
The Provider agrees to indemnify and hold harmless Booqat International Services from any claims, penalties, or damages arising from the Provider’s failure to comply with applicable laws and regulations.

9. Payment Disclaimer

The Company does not facilitate, process, or hold any payments between customers and Providers for the services booked through the Portal.
All payments for services are made directly between the booking customer and the Provider at the service location.
The Company disclaims any responsibility or liability for any disputes, claims, or issues arising from payment transactions between customers and Providers.

10. Confidentiality

The Provider agrees to keep confidential any non-public information shared by the Platform or customers in connection with this Agreement and use such information solely for purposes related to this Agreement.

11. Marketing Permissions

The Provider grants the Platform permission to use the Provider’s business name, logo, images, and service information for promotional and marketing purposes related to the Portal.

12. Marketing Permissions

Customer feedback or reviews posted on the Portal shall be managed and moderated by the Platform in accordance with its policies.
The Provider agrees to engage professionally and promptly in responding to any customer feedback related to their services.

13. Data and Privacy

The Platform may share booking-related customer data (name, contact details, service requested) with the Provider.
The Provider agrees to use this data solely for booking purposes and not for unsolicited marketing or resale.
Both parties agree to handle customer data in accordance with Qatar’s Personal Data Privacy Protection Law (Law No. 13 of 2016).

13.1 Data Security

The Provider shall implement and maintain appropriate technical and organizational security measures to protect customer data against unauthorized or unlawful processing, accidental loss, destruction, damage, alteration, or disclosure.
Such measures shall be consistent with industry best practices and comply with applicable laws and regulations.

13.2 Data Breach Notification

In the event of any actual or suspected data breach involving customer information, the Provider shall promptly notify Booqat International Services without undue delay and cooperate fully in investigating and mitigating the breach.
Failure to promptly notify Booqat may constitute a material breach of this Agreement.

14. Intellectual Property

The Platform retains ownership of all digital content, logos, branding, and software.
The Provider may not reproduce or use Platform branding without express written permission.

15. Indemnification

The Provider agrees to indemnify, defend, and hold harmless Booqat International Services and its affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from the Provider’s breach of this Agreement or applicable laws.

16. Limitation of Liability

To the maximum extent permitted by law, Booqat International Services’ total liability arising out of or related to this Agreement shall be limited to the total subscription fees paid by the Provider in the six (6) months preceding the claim.In no event shall the Company be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Platform or services.

17. Disclaimer of Warranties

The Platform is provided “as is” without any warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, strikes, or failures of telecommunications or internet services.

19. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Non-Waiver

Failure by either party to enforce any provision of this Agreement shall not be construed as a waiver of any rights to enforce that provision later.

21. Assignment

The Provider may not assign or transfer its rights or obligations under this Agreement without prior written consent from Booqat International Services.

22. Audit Rights

Booqat International Services reserves the right to audit or review the Provider’s compliance with this Agreement, particularly regarding data protection, service standards, and legal compliance, with reasonable notice.

23. Termination

This Agreement may be terminated:

  • By either party with 7 days’ written notice prior to the next billing cycle.
  • Immediately by the Platform for:
    • Breach of terms
    • Repeated customer complaints
    • Legal non-compliance

Upon termination, all access to the Platform will be revoked, and all future bookings removed.

24. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Qatar. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Qatar.

25. Language

This Agreement is executed in the English language. In the event of any discrepancies between the English version and any Arabic translation provided for reference purposes, the English version shall prevail.

26. Acknowledgment of Terms

By proceeding to use the Booqat Platform as a Service Provider, you confirm that:

  • You have read and understood the terms outlined in this Agreement.
  • You agree to be bound by these terms in your use of the www.booqat.com platform
  • You acknowledge that ticking the acknowledgment box during the registration or onboarding process constitutes acceptance of this Agreement and serves as your consent to its terms
